Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and WOMOJI LLC ("WOMOJI," "we," "us," or "our") governing your use of the WOMOJI applications, including Womoji, WomojiFood, GrindIRL, and any related services, websites, SMS messaging, and software (collectively, the "Service"). By creating an account, enrolling in SMS messaging, or using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Who We Are

WOMOJI LLC is a Texas limited liability company with its principal place of business in San Antonio, Texas. You can reach us at support@womoji.com.

3. The Service

WOMOJI offers software products for fitness, nutrition, and personal well-being, including group workout tools, food and nutrition logging, workout analysis, and related features. The Service may include text-message-based logging and insights through WomojiFood. Features may be added, changed, or removed from time to time.

4. Eligibility

You must be at least 13 years old to use WOMOJI's general services. You must be at least 18 years old to enroll in SMS messaging. By using the Service, you represent that you meet these age requirements, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Service under any applicable law.

5. Your Account

To use most features of the Service, you need an account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must provide accurate information and keep it up to date. If you learn of any unauthorized use of your account, notify us immediately.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure.
• Interfere with or disrupt the Service, including by sending spam, flooding SMS endpoints, or probing systems.
• Reverse engineer, decompile, or attempt to extract source code except where such restrictions are prohibited by law.
• Use the Service to harass, abuse, defame, or harm others.
• Upload content that infringes the intellectual property, privacy, or other rights of third parties.
• Use automated means to scrape, copy, or bulk-download data from the Service except through interfaces we expressly provide.
• Use another person's phone number, account, or identity without authorization.

7. Text Messaging (SMS)

If you enroll a mobile phone number, you agree to receive recurring automated text messages from WomojiFood at that number. Message frequency varies. Message and data rates may apply depending on your carrier plan. Reply HELP for help or STOP at any time to opt out.

Enrolling is optional. We use SMS exclusively for service-related messaging — meal logging, nutrition insights, account notices, and help responses. We do not send marketing or promotional SMS. We share your phone number and message content only with Twilio Inc., our messaging provider, to deliver messages. For full details, see Section 1.11 of our Privacy Policy.

Consent to receive SMS is not a condition of purchasing any product or using any other part of the Service.

8. Health Information and Medical Disclaimer

The Service displays nutritional estimates, calorie budgets, workout data, and other health-related information for informational purposes only. It is not medical advice. WOMOJI is not a substitute for a qualified healthcare professional. Do not use the Service to diagnose, treat, or make decisions about a medical condition without consulting your doctor. If you have a health concern, seek advice from a licensed provider.

Nutritional estimates are approximations. Actual values vary based on preparation, portion, and other factors. Do not rely on WOMOJI for precise nutritional intake if you have a medical condition that requires exact measurement (e.g., diabetes, kidney disease).

9. Content You Provide

You retain ownership of any content you submit to the Service, including messages, meal descriptions, photos, and workout data ("Your Content"). By submitting Your Content, you grant WOMOJI a worldwide, non-exclusive, royalty-free license to store, process, and display Your Content solely to operate and improve the Service for you. We do not sell Your Content. We do not use Your Content to train general-purpose AI models that serve other customers.

You are responsible for Your Content. You represent that you have the rights necessary to submit it and that it does not violate any law or third-party right.

10. Intellectual Property

The Service, including all software, graphics, logos, text, and other materials (excluding Your Content), is owned by WOMOJI or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any rights in our intellectual property except the limited right to use the Service as described.

11. Third-Party Services

The Service integrates with third-party services, including (without limitation) Apple Sign-In, Apple Health and HealthKit, Withings, Twilio, Amazon Web Services, Cloudflare, and Stripe. Your use of those services is governed by the third-party's own terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

12. Fees and Subscriptions

Parts of the Service may be offered free of charge. Other parts may require payment of fees or a subscription. Pricing, billing cycles, and cancellation terms for paid features will be disclosed at the time of purchase. Fees are non-refundable except where required by law. You are responsible for applicable taxes.

13. Termination

You may stop using the Service at any time, including by deleting your account from within the app. We may suspend or terminate your access if you violate these Terms, if we're required to do so by law, or if we discontinue the Service. On termination, your right to use the Service ends. Some terms (including Sections 8, 9, 10, 14, 15, 16, 17) survive termination.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOMOJI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE, OR THAT ANY DATA WILL BE SECURE OR NOT LOST.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WOMOJI OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. WOMOJI'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

16. Indemnification

You will indemnify and hold harmless WOMOJI and its officers, employees, and agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email, through the Service, or on our website. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
